EXECUTE AND DELIVER AN AGREEMENT OF
UNDERSTANDING BETWEEN THE CITIES OF
SPRINGDALE AND JOHNSON AND THE ARKANSAS
STATE HIGHWAY AND TRANSPORTATION
DEPARTMENT
WHEREAS, the Cities of Johnson and Springdale are interested in the development of
areas in the respective Cities which are West of Interstate 49;
WHEREAS, the opportunity has arisen to partner together and utilize Federal-aid STP atttibutable
funding to design and construct an improved street serving both Cities;
WHEREAS, in furtherance of this project the City Council has already passed
Resolutions 2013-10, 2014-01 and 2014-2;
WHEREAS, the Arkansas Highway and Transportation Department has requested an
additional specific Resolution authorizing the Mayor to execute all appropriate agreements and
contracts to expedite construction of this project; and,
WHEREAS, the attached Agreement of Understanding between the Cities of Snringdale
and Johnson and the Arkansas State Highway and Transportation Department contains a
commitment by the City of Johnson to indemnify the Arkansas State Highway Commission, the
Department and others under certain circumstances and due to. the potential for additional
ramifications counsel has advised specific consideration, acceptance of responsibility and
authority to execute such Agreement.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF JOHNSON,
ARKANSAS, That:
1. After consideration and discussion of the commitment and responsibilities
embodied in the attached Agreement of Understanding Between the Cities of Springdale and
Johnson and the Arkansas State Highway and Transportation Department the .Mayor is hereby
authorized to execute said Agreement on behalf of the City of Johnson thereby securing for our
citizens and residents the benefits of same while recognizing the risks involved
2. The Mayor is specifically authorized to take all necessary actions to expedite the

execution and delivery of such Agreement so all parties have executed duplicate originals and to
take further actions necessary to expedite the project at any stage.
3. The Recorder-Treasurer is authorized to pay, from time to time, properly
documented requests for payment as set forth in the Agreement from funds appropriated for this
project.
